Welcome to CHINESE FILMMAKERS ONLINE!

1. 您与龙影在线的关系

您对龙影在线服务及网站（本文件中合称“服务”，不包括在单独的书面协议之下龙影在线向您提供的任何服务）的使用受您和龙影在线之间法律协议的条款所限制。本文件解释了协议如何制定，并陈述了协议中的若干条款。
除非与龙影在线另有书面协议，否则您与龙影在线的协议将始终至少包括本文件中陈述的条款和条件。这些条款和条件下称“通用条款”。
除通用条款外，您与龙影在线的协议亦将包括适用于服务的任何法律声明中的条款。所有这些法律声明中的条款下称“额外条款”。额外条款适用于服务时，您可在该服务范围内或使用该服务过程中读到该等条款。

2. 接受本条款

使用服务必须首先同意本条款。如果您不接受本条款则不可使用服务。
您可透过下列方式接受本条款：

在有关任何服务的用户界面上龙影在线向您提供的选择处点击以接受或同意本条款；或
实际使用服务。在此情况下，您理解并同意龙影在线视您自使用服务时起接受本条款。

在下列情况下您不可使用服务且不能接受本条款：

根据加拿大或其他国家（包括您居住的或您从那里使用服务的国家）的法律，您是被禁止接受服务的人。

您继续之前，您应打印或在本地保存通用条款作为备案。

3. 本条款语言

龙影在线向您提供本条款英文文本的翻译件时，您同意翻译件仅供您方便之用，本条款的英文文本适用于您和龙影在线之间的关系。
如果本条款英文文本和翻译文本存在任何冲突，则以英文文本为准。

4. 龙影在线提供服务

龙影在线不断创新以向其用户提供最优体验。您认知并同意龙影在线提供的服务的形式和本质可不经事先通知您而不时变换。
作为这种持续创新的一部分，您认知并同意龙影在线可自行决定，无须事先通知您，即停止（永久或暂时）向您或全体用户提供服务。您可随时停止使用服务。您停止使用服务时无需特别通知龙影在线。
您认知并同意，如果龙影在线禁用对您的帐户的存取权，则您可能被阻止获得服务、您的帐户资料或包含在您帐户中的任何文件或其他内容。
您认知并同意，尽管龙影在线可能目前没有设置您可透过服务发送或接收的传输数量或用于提供任何服务的存储空间的上限，但龙影在线可自行决定在任何时候设置上限。

5. 您对服务的使用

您同意仅为
1. 本条款及
2. 任何适用法律、法规或有关辖区内公认的惯例或准则（包括关于数据向或从加拿大或其他相关国家出口的任何法律）所允许的目的使用服务。

除非您在与龙影在线的单独协议中获得特别允许，否则您同意您不为任何目的再制作、复制、拷贝、出售、交易或转售服务。
您同意独自就您违反您在本条款之下的义务以及任何该等违反的后果（包括龙影在线遭受的任何损失或损害）承担责任（龙影在线不对您或任何第三方承担责任）。

6. 您的密码和帐户安全

您同意并理解您有责任将您与用于获得服务的任何帐户相关的密码保密。
据此，您同意将独自就在您帐户下的所有活动对龙影在线负责。
如果您得知任何对您的密码或您的帐户的任何未经授权的使用，您同意立即通知龙影在线。

7. 隐私与您的个人资料

您同意按照龙影在线的隐私政策使用您的数据。

8. 服务内容

您理解，作为服务的一部分或透过您使用服务得到的所有资料（如数据文件、书面文本、电脑软件、音乐、音像文件或其他声音、图片、录像或其他图像），完全由该内容出处的人员负责。所有该等资料下称“内容”。
您应意识到作为服务一部分展示给您的内容，包括但不限于服务中的广告及服务中的赞助内容，可能受向龙影在线提供内容的赞助者或广告商（或代表其的其他人员或公司）所拥有的知识产权的保护。您不得修改、租赁、出租、借贷、出售、分发该内容（无论全部还是部分）或根据该内容创作衍生作品，除非龙影在线或内容所有人在单独协议中特别告知您可以为之。
龙影在线保留从任何服务中筛选、审阅、标明、过滤、修订、拒绝或删除任何或所有内容的权利（但无义务这样做）。
您理解：透过使用服务，您可能会接触到您觉得冒犯的、粗鄙的、反感的内容，您使用服务时与此相关的风险由您自行承担。
您同意独自就您在使用服务时创作、传送或展示的任何内容以及您做出该等行为的后果（包括龙影在线可能遭受的任何损失或损害）承担责任（龙影在线不对您或任何第三方承担责任）。

9. 专有权利

您认知并同意，龙影在线（或龙影在线的许可方）对服务拥有一切法定权利、所有权和利益，包括存在于服务中的任何知识产权（无论该等权利是否已经登记，也不论该等权利在世界的何等地方存在）。您进一步认知，服务可能包括龙影在线指定为保密的资料，未经龙影在线事先书面同意，您不得披露该等资料。
除非您与龙影在线另有书面协议，否则本条款中的任何规定均未给予您使用龙影在线任何商号、商标、服务标记、标识、域名及其他显著品牌特征的权利。
如果您在与龙影在线的单独书面协议中被给予一项使用上述品牌特征的明确的权利，则您同意您在使用该等品牌特征时遵守该协议、本条款的任何适用规定以及不时更新的龙影在线品牌特征使用指南。
除第10条规定的限制许可外，龙影在线认知并同意，其不在本条款之下获得您（或您的许可方）对在服务上或透过服务提交、张贴、传输或展示的任何内容的任何权利、所有权或利益，包括该内容中存在的任何知识产权（无论该等权利是否已经登记，亦不论该等权利在世界的何等地方存在）。除非您与龙影在线另有书面协议，否则您同意您负责保护并强制执行这些权利，龙影在线没有义务代表您这样做。

除非您得到龙影在线书面明确授权这样做，否则您同意在使用服务时，您将不以可能或故意导致混淆该等商标、名称或标识的所有者或授权用户的方式使用任何公司或组织的商标、服务标识、商号、标识。

10. 您对内容的许可

您保留你在服务上或透过服务提交、张贴或展示的内容中已持有的著作权及任何其他权利。透过提交、张贴或展示内容，您给予龙影在线一项永久性的、不可撤销的、世界各地的、免交使用费的及非排他性的许可，以复制、改编、修改、翻译、发布、公开实施、公开展示及分发您在服务上或透过服务提交、张贴或展示的任何内容。此项许可仅以使龙影在线可以展示、分发及宣传服务为目的，并可按某些服务的附加条款就该等服务撤销此项许可。
您同意此项许可包括一项权利，使龙影在线可将该等内容提供给与龙影在线有提供联合服务的关系的其他公司、组织或个人，并就联合服务的提供使用该内容。
您理解，龙影在线在实施所需的技术措施向用户提供服务时，可

在不同的公共网络和不同的媒体传送或分发您的内容；
对您的内容作出必要的变更以使内容符合、适应连接网络、装置、服务或媒体的技术要求。您同意此项许可允许龙影在线采取这些行动。

您向龙影在线确认并保证您拥有所有必要的权利、权力和授权授予上述许可。

11. 终止您与龙影在线的关系

本条款将持续适用直至根据下述规定由您或龙影在线终止。
如果您希望终止与龙影在线的法律协议，您可透过下列方式完成：

在任何时候通知龙影在线及
在龙影在线向您提供选择的情况下，关闭您使用的所有服务的帐户。您的通知应书面发送至龙影在线的地址。

发生下列情况时龙影在线可随时终止其与您的法律协议：

您违反了本条款的任何规定（或您的行为方式明确显示您不打算或未能遵守本条款规定）；或
法律要求龙影在线这样做（例如：向您提供服务不合法或变得不合法）；或
龙影在线与之一起向您提供服务的合作伙伴已终止与龙影在线的关系或停止向您提供服务；或
龙影在线转变为不再向您居住的或您从那里使用服务的国家内的用户提供服务；或
龙影在线认为，龙影在线向您提供服务不再具有商业可行性。

本条的任何规定不得影响龙影在线与根据第4条提供服务有关的权利。
本条款终止时，您和龙影在线已经享受或承担的（或在本条款有效期间已经产生的）或明确规定为无限期有效的所有法定权利、义务和责任不受该终止的影响，第18.(g)条的规定应无限期地适用于该等权利、义务和责任。

12. 不包括其他保证

本条款中的任何规定，包括第12和第13条，均不排除或限制龙影在线根据适用法律不能合法排除或限制的损失保证或责任。某些司法辖区不允许排除某些保证或条件，或限制或排除对由于疏忽、违约、违反默示条款引起的损失或损害或对附带或后果性损害的责任。因此，只有在您的司法辖区合法的限制对您适用，并且我们的责任将在法律允许的最大限度内受到限制。
您明示理解并同意，您对使用服务独自承担风险并且服务按“现状”和“原样”的方式提供。
尤其是，龙影在线、其附属公司和关联公司及其许可人，不就以下各项向您作出陈述或保证：

您对服务的使用将符合您的需求；
您对服务的使用将无中断、及时、安全或没有错误；
由于您使用服务而获得的任何资料将是准确的或可靠的。

透过使用服务而下载或以其他方式获得的任何材料由您自行作出并承担风险，您将独自对由于下载任何该等材料而导致对电脑系统或其他装置的损害或数据的丢失负责。
您从龙影在线获得的或透过服务或从服务获得的任何建议或资料（无论口头还是书面的）均不创立本条款中未明确规定的任何保证。
龙影在线进一步明确否认任何种类的所有保证和条件（无论明示还是默示的），包括但不限于适销性、适合特定目的及不侵权的默示保证和条件。

13. 责任限制

在遵守上文第12.(a)条全部规定的前提下，您明示理解并同意，龙影在线、其附属公司和关联公司及其许可人不就以下事项对您承担责任：
1. 您无论由于何种原因和在任何责任理论之下发生的任何直接、间接、附带、特殊、后果性或惩罚性的损害。这应包括但不限于任何利润损失（无论是直接还是间接发生）、任何商誉或业务声誉损失、任何数据丢失、替代物品或服务的购买费用或其他无形损失；
2. 您可能产生的任何损失或损害，包括但不限于由下列原因导致的损失或损害：
1. 您对任何广告的完整性、准确性或其存在的信任，或作为您与其广告出现在服务中的任何广告商或赞助人之间的任何关系或交易的结果；
2. 龙影在线对服务可能做出的变更，或永久或暂时停止提供服务（或服务中的任何功能）；
3. 对透过您使用服务而维持或传输的任何内容及其他通讯数据的删除、毁坏或未能将其储存；
4. 您未向龙影在线提供准确的帐户资料；
5. 您未对您的密码或帐户资料保持安全及保密；
无论龙影在线是否接到通知或是否应已知晓引起任何该等损失的可能性，上文第13.(a)条中龙影在线对您的责任限制均应适用。

14. 著作权和商标政策

对关于符合适用国际知识产权法的指称的著作权侵权通知作出回应以及终止重复侵权者帐户是龙影在线的政策。

15. 广告

部分服务由广告收入支持，可展示广告和推销。这些广告可能是针对存储于服务中的资料、透过服务提出的询问或其他资料的内容提供的。
龙影在线在服务上的广告的方式、模式和范围可不经向您特别通知而变更。
作为龙影在线授予您存取和使用服务的权利的对价，您同意龙影在线可以在服务上加载该等广告。

16. 其他内容

服务可包含对其他网站或内容或资源的超连接。龙影在线可能并不控制由龙影在线以外的公司或个人提供的任何网站或资源。
您认知并同意，龙影在线不对该等外部网站或资源的可用性负责，亦不对该等网络或资源上的或从该等网站或资源获得的任何广告、产品或其他材料加以认可。
您认知并同意，龙影在线不对由于您因那些外部的网站或资源的可用性或您对该等网站或资源上的或从该等网站或资源获得的任何广告、产品或其他材料的完整性、准确性或存在的信赖而发生的任何损失或损害承担责任。

17. 本条款的变更

龙影在线可不时对通用条款或附加条款作出变更。任何新的附加条款将透过受其影响的服务或在受其影响的服务内向您提供。
您理解并同意，如果您在通用条款或附加条款变更日期之后使用服务，则龙影在线将把您的使用视为接受更新后的通用条款或附加条款。

18. 一般法律条款

有时候您使用服务，您即可（作为您使用服务的结果或透过您对服务的使用）使用其他人或公司提供的某项服务或下载一个其他人或公司提供的软件，或购买其他人或公司提供的商品。您对这些其他服务、软件或商品的使用受您和相关公司或个人的单独条款所限制。在此情况下，本条款不影响您和这些其他公司或个人的法律关系。
本条款构成您和龙影在线之间关于您使用服务（但不包括根据单独书面协议龙影在线向您提供的任何服务）的全部法律协议，并完全取代您和龙影在线先前就服务达成的任何协议。
您同意龙影在线可透过电子邮件、常规邮件或在服务上张贴的方式向您提供通知，包括关于修订本条款的通知。
您同意，如果龙影在线未行使或未强制执行包含在本条款中的（或龙影在线在任何适用法律下有权享受的）任何法定权利或补救措施，不可视为对龙影在线权利的正式放弃，这些权利或补救措施仍对龙影在线有效。
如果对该等事项有司法决定权的任何法院，判定本条款的任何规定无效，则该等规定将从本条款中删除，而不影响本条款的其他部分。本条款的其余部分将继续有效并可强制执行。
您认知并同意，龙影在线为母公司的公司集团的每一成员应为本条款的第三方受益人，该等其他公司应有权直接强制执行和依赖赋予其利益（或权利）的本条款的任何规定。此外，没有任何人或公司应是本条款的第三方受益人。

1. Your relationship with CHINESE FILMMAKERS ONLINE

Your use of CHINESE FILMMAKERS ONLINE’s services and web sites (referred to collectively as the “Services” in this document and excluding any services provided to you by CHINESE FILMMAKERS ONLINE under a separate written agreement) is subject to the terms of a legal agreement between you and CHINESE FILMMAKERS ONLINE. This document explains how the agreement is made up, and sets out some of the terms of that agreement.
Unless otherwise agreed in writing with CHINESE FILMMAKERS ONLINE, your agreement with CHINESE FILMMAKERS ONLINE will always include, at a minimum, the terms and conditions set out in this document. These are referred to below as the “Universal Terms”.
Your agreement with CHINESE FILMMAKERS ONLINE will also include the terms of any Legal Notices applicable to the Services, in addition to the Universal Terms. All of these are referred to below as the “Additional Terms”. Where Additional Terms apply to a Service, these will be accessible for you to read either within, or through your use of, that Service.
The Universal Terms, together with the Additional Terms, form a legally binding agreement between you and CHINESE FILMMAKERS ONLINE in relation to your use of the Services. It is important that you take the time to read them carefully. Collectively, this legal agreement is referred to below as the “Terms”.
If there is any contradiction between what the Additional Terms say and what the Universal Terms say, then the Additional Terms shall take precedence in relation to that Service.

2. Accepting the Terms

In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.
You can accept the Terms by:

clicking to accept or agree to the Terms, where this option is made available to you by CHINESE FILMMAKERS ONLINE in the user interface for any Service; or
by actually using the Services. In this case, you understand and agree that CHINESE FILMMAKERS ONLINE will treat your use of the Services as acceptance of the Terms from that point onwards.

You may not use the Services and may not accept the Terms if

you are not of legal age to form a binding contract with CHINESE FILMMAKERS ONLINE, or
you are a person barred from receiving the Services under the laws of Canada or other countries including the country in which you are resident or from which you use the Services.

Before you continue, you should print off or save a local copy of the Universal Terms for your records.

3. Language of the Terms

Where CHINESE FILMMAKERS ONLINE has provided you with a translation of the English language version of the Terms, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with CHINESE FILMMAKERS ONLINE.
If there is any contradiction between what the English language version of the Terms says and what a translation says, then the English language version shall take precedence.

4. Provision of the Services by CHINESE FILMMAKERS ONLINE

CHINESE FILMMAKERS ONLINE is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Services which CHINESE FILMMAKERS ONLINE provides may change from time to time without prior notice to you.
As part of this continuing innovation, you acknowledge and agree that CHINESE FILMMAKERS ONLINE may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at CHINESE FILMMAKERS ONLINE’s sole discretion, without prior notice to you. You may stop using the Services at any time. You do not need to specifically inform CHINESE FILMMAKERS ONLINE when you stop using the Services.
You acknowledge and agree that if CHINESE FILMMAKERS ONLINE disables access to your account, you may be prevented from accessing the Services, your account details or any files or other content which is contained in your account.
You acknowledge and agree that while CHINESE FILMMAKERS ONLINE may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by CHINESE FILMMAKERS ONLINE at any time, at CHINESE FILMMAKERS ONLINE’s discretion.

5. Use of the Services by you

In order to access certain Services, you may be required to provide information about yourself (such as identification or contact details) as part of the registration process for the Service, or as part of your continued use of the Services. You agree that any registration information you give to CHINESE FILMMAKERS ONLINE will always be accurate, correct and up to date.
You agree to use the Services only for purposes that are permitted by

the Terms and
any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data to and from Canada or other relevant countries).

You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by CHINESE FILMMAKERS ONLINE, unless you have been specifically allowed to do so in a separate agreement with CHINESE FILMMAKERS ONLINE. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers) and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services.
You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
Unless you have been specifically permitted to do so in a separate agreement with CHINESE FILMMAKERS ONLINE, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.
You agree that you are solely responsible for (and that CHINESE FILMMAKERS ONLINE has no responsibility to you or to any third party for) any breach of your obligations under the Terms and for the consequences (including any loss or damage which CHINESE FILMMAKERS ONLINE may suffer) of any such breach.

6. Your passwords and account security

You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the Services.
Accordingly, you agree that you will be solely responsible to CHINESE FILMMAKERS ONLINE for all activities that occur under your account.
If you become aware of any unauthorized use of your password or of your account, you agree to notify CHINESE FILMMAKERS ONLINE immediately.

7. Privacy and your personal information

You agree to the use of your data in accordance with CHINESE FILMMAKERS ONLINE’s privacy policies.

8. Content in the Services

You understand that all information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) which you may have access to as part of, or through your use of, the Services are the sole responsibility of the person from which such content originated. All such information is referred to below as the “Content”.
You should be aware that Content presented to you as part of the Services, including but not limited to advertisements in the Services and sponsored Content within the Services may be protected by intellectual property rights which are owned by the sponsors or advertisers who provide that Content to CHINESE FILMMAKERS ONLINE (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (either in whole or in part) unless you have been specifically told that you may do so by CHINESE FILMMAKERS ONLINE or by the owners of that Content, in a separate agreement.
CHINESE FILMMAKERS ONLINE reserves the right (but shall have no obligation) to pre-screen, review, flag, filter, modify, refuse or remove any or all Content from any Service.
You understand that by using the Services you may be exposed to Content that you may find offensive, indecent or objectionable and that, in this respect, you use the Services at your own risk.
You agree that you are solely responsible for (and that CHINESE FILMMAKERS ONLINE has no responsibility to you or to any third party for) any Content that you create, transmit or display while using the Services and for the consequences of your actions (including any loss or damage which CHINESE FILMMAKERS ONLINE may suffer) by doing so.

9. Proprietary rights

You acknowledge and agree that CHINESE FILMMAKERS ONLINE (or CHINESE FILMMAKERS ONLINE’s licensors) own all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by CHINESE FILMMAKERS ONLINE and that you shall not disclose such information without CHINESE FILMMAKERS ONLINE’s prior written consent.
Unless you have agreed otherwise in writing with CHINESE FILMMAKERS ONLINE, nothing in the Terms gives you a right to use any of CHINESE FILMMAKERS ONLINE’s trade names, trade marks, service marks, logos, domain names, and other distinctive brand features.
If you have been given an explicit right to use any of these brand features in a separate written agreement with CHINESE FILMMAKERS ONLINE, then you agree that your use of such features shall be in compliance with that agreement, any applicable provisions of the Terms, and CHINESE FILMMAKERS ONLINE 's brand feature use guidelines as updated from time to time.
Other than the limited license set forth in Section 10, CHINESE FILMMAKERS ONLINE acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these Terms in or to any Content that you submit, post, transmit or display on, or through, the Services, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with CHINESE FILMMAKERS ONLINE, you agree that you are responsible for protecting and enforcing those rights and that CHINESE FILMMAKERS ONLINE has no obligation to do so on your behalf.
You agree that you shall not remove, obscure, or alter any proprietary rights notices (including copyright and trade mark notices) which may be affixed to or contained within the Services.
Unless you have been expressly authorized to do so in writing by CHINESE FILMMAKERS ONLINE, you agree that in using the Services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.

10. Content licence from you

You retain copyright and any other rights you already hold in Content which you submit, post or display on or through, the Services. By submitting, posting or displaying the content you give CHINESE FILMMAKERS ONLINE a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive licence to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on or through, the Services. This licence is for the sole purpose of enabling CHINESE FILMMAKERS ONLINE to display, distribute and promote the Services and may be revoked for certain Services as defined in the Additional Terms of those Services.
You agree that this licence includes a right for CHINESE FILMMAKERS ONLINE to make such Content available to other companies, organizations or individuals with whom CHINESE FILMMAKERS ONLINE has relationships for the provision of syndicated services, and to use such Content in connection with the provision of those services.
You understand that CHINESE FILMMAKERS ONLINE, in performing the required technical steps to provide the Services to our users, may

transmit or distribute your Content over various public networks and in various media; and
make such changes to your Content as are necessary to conform and adapt that Content to the technical requirements of connecting networks, devices, services or media. You agree that this licence shall permit CHINESE FILMMAKERS ONLINE to take these actions.

You confirm and warrant to CHINESE FILMMAKERS ONLINE that you have all the rights, power and authority necessary to grant the above licence.

11. Ending your relationship with CHINESE FILMMAKERS ONLINE

The Terms will continue to apply until terminated by either you or CHINESE FILMMAKERS ONLINE as set out below.
If you want to terminate your legal agreement with CHINESE FILMMAKERS ONLINE, you may do so by

notifying CHINESE FILMMAKERS ONLINE at any time and
closing your accounts for all of the Services which you use, where CHINESE FILMMAKERS ONLINE has made this option available to you. Your notice should be sent, in writing, to CHINESE FILMMAKERS ONLINE’s address.

CHINESE FILMMAKERS ONLINE may at any time, terminate its legal agreement with you if:

you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
CHINESE FILMMAKERS ONLINE is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or
the partner with whom CHINESE FILMMAKERS ONLINE offered the Services to you has terminated its relationship with CHINESE FILMMAKERS ONLINE or ceased to offer the Services to you; or
CHINESE FILMMAKERS ONLINE is transitioning to no longer providing the Services to users in the country in which you are resident or from which you use the service; or
the provision of the Services to you by CHINESE FILMMAKERS ONLINE is, in CHINESE FILMMAKERS ONLINE’s opinion, no longer commercially viable.

Nothing in this Section shall affect CHINESE FILMMAKERS ONLINE’s rights regarding provision of Services under Section 4 of the Terms.
When these Terms come to an end, all of the legal rights, obligations and liabilities that you and CHINESE FILMMAKERS ONLINE have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions of paragraph 18.(g) shall continue to apply to such rights, obligations and liabilities indefinitely.

12. Exclusion of warranties

Nothing in these Terms, including sections 12 and 13, shall exclude or limit CHINESE FILMMAKERS ONLINE’s warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied Terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.
You expressly understand and agree that your use of the Services is at your sole risk and that the Services are provided "as is" and “as available.”
In particular, CHINESE FILMMAKERS ONLINE, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that:

your use of the Services will meet your requirements,
your use of the Services will be uninterrupted, timely, secure or free from error,
any information obtained by you as a result of your use of the Services will be accurate or reliable, and

Any material downloaded or otherwise obtained through the use of the Services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.
No advice or information, whether oral or written, obtained by you from CHINESE FILMMAKERS ONLINE or through or from the Services shall create any warranty not expressly stated in the Terms.

13. Limitation of liability

This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss;
any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of:

any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the Services;
any changes which CHINESE FILMMAKERS ONLINE may make to the Services, or for any permanent or temporary cessation in the provision of the Services (or any features within the Services);
the deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the Services;

your failure to keep your password or account details secure and confidential;

17. Changes to the Terms

CHINESE FILMMAKERS ONLINE may make changes to the Universal Terms or Additional Terms from time to time. When these changes are made, and any new Additional Terms will be made available to you from within, or through, the affected Services.

18. General legal terms

If so, the Terms do not affect your legal relationship with these other companies or individuals.

Other than this, no other person or company shall be third party beneficiaries to the Terms.
The Terms, and your relationship with CHINESE FILMMAKERS ONLINE under the Terms, shall be governed by the laws of Ontario without regard to its conflict of laws provisions. You and CHINESE FILMMAKERS ONLINE agree to submit to the exclusive jurisdiction of the courts located within the city of Toronto, Ontario to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that CHINESE FILMMAKERS ONLINE shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
